These Terms of Service ("Terms") are made between NeuroQubit AI / Neeko ("Neeko", "we", "the company") on one side, and the user ("User", "you") who uses the Neeko physical device ("Device"), the NeekoApp mobile application ("App"), the `neekoai.com.tr` and `app.neekoai.com.tr` websites, and related services ("Services") on the other side.
By accessing the Services, creating an account, or using the Device, you declare that you have read, understood, and accepted these Terms as well as the supplementary Privacy Policy, KVKK Disclosure Notice (KVKK: Turkish Personal Data Protection Law), and other documents.
Neeko offers a voice-based AI companion experience designed for children. The Device interacts directly with your child; as a parent, you manage the Device's behavior, build the content collection, and follow the safety reports through the App or the Web Panel.
The NeekoApp and the Web Panel are parent management tools and are not designed for direct use by children.

In case of violation, your account may be suspended or terminated without notice.
When you purchase the Device, physical ownership of the Device passes to you. The Device belongs to you within the framework of the manufacturer's warranty, the user manual, and applicable consumer law.
The firmware on the Device, the App, the Web Panel, and the content are licensed. The license granted to you:
All intellectual property rights in the Services (trademarks, copyrights, patents, trade secrets) belong to Neeko or its licensors.
The intellectual property rights in the parent and child profile information you add to your account, personal notes, Device setting preferences, and the memory cards you approve belong to you.
To enable the provision of the Service, you grant Neeko a limited, worldwide, royalty-free, sublicensable license. This license:
The Device and the Services make use of artificial intelligence models. The responses, stories, or suggestions generated by the AI:

During your child's interaction with the Device:
Neeko does not substitute for parental supervision and does not lessen parental responsibility.
Today, no payment, order, pre-order, stock, or shipping process is open for Neeko v1. V1 interest registration does not create a sales contract, reservation, place in line, price lock, or delivery right.
The payment provider, product and content prices, taxes, delivery, withdrawal, returns, warranty, and any subscription terms will be published separately and visibly, in line with applicable legislation and expert review, before sales open.
Neeko may, due to product development, security, legal compliance, or operational requirements:
In the event of a significant change to the Service, you will be notified a reasonable time in advance. If the Device's core functionality is affected, a fair remedy (refund, replacement, or continued service) will be offered.
Within the limits permitted by law:
The manufacturer's warranty applies separately to the Device hardware (for the period stated in the warranty certificate included in the Device box).
To the extent permitted by law:
You agree to indemnify Neeko against third-party claims, lawsuits, damages, costs, and attorney fees arising from your violation of the Terms or your misuse of the Services.

For users qualifying as consumers, the rights to apply to the Consumer Arbitration Committee and the Consumer Court (Turkish consumer dispute bodies) are reserved. The competent jurisdiction and governing law are those of the Republic of Türkiye; mandatory consumer law rules are reserved.
For users residing within the EU, the right to lodge a complaint with the local data protection authority (GDPR Art. 77) is reserved.
These Terms and their supplementary documents constitute the entire agreement between the parties. The invalidity or unenforceability of any provision does not affect the validity of the remaining provisions.
You may not assign your rights and obligations without our prior written consent. Neeko may assign its rights and obligations in the event of a merger, acquisition, or restructuring.
These Terms may be updated due to legal regulations or product development. In the event of significant changes, notice will be given through the methods specified in the Policy. Continued use of the Service after notice constitutes acceptance of the updated Terms.
Our failure to exercise a right in a particular situation does not mean we waive that right.
